Terms of Service - Advancify Focus

1. Introduction

These Terms constitute a legally binding agreement between you and Neuronext Inc., a Delaware-registered company. By installing or using the Advancify Focus application, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use Advancify Focus.

Advancify Focus is a desktop application designed for adults (18+). It uses eye-tracking technology to assess eye strain and mental fatigue and suggests rest when high levels are detected. It is not a medical device and is not intended to diagnose or treat any medical condition.

2. Eligibility

You must be 18 years or older to use Advancify Focus. We do not knowingly allow minors to use the application or collect their data.

3. Registration and Accounts

3.1. Registration via Google or Apple. You may register for Advancify Focus using your Google or Apple account. When you choose this option, we will receive limited information from the respective service provider (such as your email address) to create your account.

3.2. Agreement to Terms and Privacy Policy. By registering through Google or Apple, you explicitly acknowledge and agree that you are bound by these Terms of Service and our Privacy Policy. If you do not accept them, you must not proceed with registration.

3.3. Accuracy of Information. You agree to provide accurate and up-to-date information during registration. You are responsible for maintaining the confidentiality of your login credentials and for all activities carried out under your account.

3.4. Security. You must promptly notify Neuronext Inc. at privacy@neuronext.ai of any suspected breach of security or unauthorized use of your account.

4. Description of Services

Advancify Focus measures user concentration and eye strain through your computer's webcam and provides recommendations to take breaks or adjust screen time. All eye-tracking data are processed locally on your device; we do not transmit video, images, or other biometric data to our servers or third parties. We do not categorize users, profile them, or sell personal data.

5. Privacy and Data Processing

5.1 Local Processing

• Eye-tracking data collected via your webcam are processed entirely on your device.
• No raw eye-tracking videos or images leave your computer.
• If remote processing is ever required in the future, it will occur only with appropriate safeguards and prior notice.

5.2 Additional Personal Information

We may request minimal information (for example, your email address) to provide product updates or support. Such data may be stored on secure servers and used only as described in our Privacy Policy. You may have rights to access, rectify, erase, restrict or object to processing, and to request a copy of your data where applicable.

5.3 Direct Marketing

We do not send marketing communications unless you consent. Any marketing emails will include a clear opt-out mechanism.

6. Subscription, Payment Processing, and Distribution Terms.

6.1. Distribution and Payment Processing.

Neuronext Inc. remains the sole owner of all rights to the Advancify Focus software, develops and supports the services, and is fully responsible for their operation and privacy compliance. Advancify Limited, a company registered in Ireland, acts solely as an authorised distributor of Neuronext products and handles marketing and sales. Subscription fees and other charges are collected through the Stripe payment platform. By entering into this agreement, you understand that all intellectual property and product rights belong exclusively to Neuronext; Advancify Limited serves only as a distributor.

6.2. Subscription Terms.

Users are provided with a 7-day free trial that includes full access to all features of the application. After the trial period ends, continued use of the application requires selecting one of the available subscription plans, as listed on the official website. All subscription plans renew automatically at the end of their billing cycle. However, users may cancel auto-renewal at any time through their account settings or by following the instructions provided on the website.

7. User Conduct and Restrictions

You agree to:

• Use Advancify Focus only for its intended purpose: evaluating eye strain and mental fatigue and receiving rest recommendations.
• Not disassemble, decompile, reverse engineer, or modify the application.
• Not attempt to access source code or copy our proprietary technology.
• Not use Advancify Focus for commercial or medical purposes.
• Comply with all applicable laws and regulations.

8. Cancellation; Suspension or Termination

8.1. Neuronext may limit, suspend, or cancel the Services at its discretion if it suspects a breach of these Terms. Suspensions will continue until the issue is resolved to Neuronext's satisfaction. Upon deactivation or cancellation, Neuronext has the right to delete your information but is not obligated to do so.

9. License Grant

Subject to these Terms, Neuronext Inc. grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable, limited license to:

1. Install and use Advancify Focus on your personal computer or other compatible device.
2. Access and use the features and functionality provided by Neuronext through Advancify Focus.
3. Use Advancify Focus in its complete, unmodified form for your personal, non-commercial purposes only.

Any use beyond this scope is expressly prohibited. Unauthorized use of Advancify Focus may violate copyright, trademark, and other applicable laws.

Ownership

Neuronext retains all rights, title, and interest, including all intellectual property rights, in:

• The design and technical specifications of Advancify Focus.
• All current or future Neuronext applications.
• All Neuronext content, including but not limited to text, graphics, images, software, and code.

You acknowledge that the source code, object code, and structure of Advancify Focus are proprietary and confidential information of Neuronext. You agree that you have no rights to Advancify Focus apart from the license expressly granted in these Terms.

Restrictions

• No Other Rights Granted: Apart from the license above, no ownership rights or other interests are granted to you.
• Proprietary Notices: You must not remove or obscure any copyright, trademark, or proprietary notices from Advancify Focus.
• Third-Party Content: Advancify Focus may include content from partners and licensors. Except as permitted under these Terms, you may not copy, modify, or redistribute such content.
• Feedback: Any feedback, ideas, or suggestions you provide automatically become the property of Neuronext. Neuronext may use such feedback for product development, improvement, or marketing without restriction or compensation to you.

10. Restrictions on Use

You are prohibited from engaging in the following activities:

• Reverse Engineering: Attempting to decompile, reverse engineer, disassemble, or otherwise derive the source code of Advancify Focus.
• Modifications: Making modifications, adaptations, improvements, translations, or derivative works from Advancify Focus.
• Commercial Use: Using Advancify Focus for commercial purposes or to directly generate revenue.
• Unauthorized Distribution: Distributing, selling, sublicensing, renting, or otherwise providing Advancify Focus to third parties.
• Competitive Use: Using Advancify Focus to create or support a competing product or service.
• Circumvention of Security Measures: Attempting to bypass or interfere with any security or protective measures in Advancify Focus.
• Interference: Introducing malware, performing denial-of-service attacks, or otherwise interfering with Advancify Focus or its users.
• Privacy Violations: Using Advancify Focus in ways that infringe on privacy or violate these Terms.
• Legal Violations: Using Advancify Focus in violation of applicable laws or regulations.

These restrictions extend beyond termination of these Terms.

11. Restriction on Modification

You are strictly prohibited from modifying Advancify Focus or Neuronext Content except as explicitly permitted under these Terms. Unauthorized alterations may:

• Void all express or implied warranties.
• Result in immediate termination of your license and access to Advancify Focus.

12. Restriction on Distribution

You are expressly forbidden from distributing or providing access to Advancify Focus outside the permissions granted in these Terms. In particular, you must not:

• Claim or imply that you are an authorized distributor, author, or creator of Advancify Focus.
• Loan, lease, rent, resell, or otherwise make Advancify Focus available to third parties without Neuronext's prior written consent.

Any unauthorized distribution may result in termination of service and legal action.

13. Modifications and Updates

Neuronext reserves the right, at its sole discretion, to modify, update, or discontinue Advancify Focus, including features, functionality, or content, at any time without notice. Updates may be delivered automatically or may require manual installation. Failure to install updates may impair functionality or security.

14. Third-Party Hardware

If you use third-party hardware to operate Advancify Focus (such as webcams or computers not supplied by Neuronext):

• Any support or warranty claims must be directed to the manufacturer of that hardware.
• Neuronext disclaims responsibility for the functionality, performance, or reliability of third-party devices.
• The limited warranty (if applicable) covers only Neuronext's software, not third-party hardware.

15. Disclaimer

Advancify Focus is provided "as is". We do not warrant that the application will meet your requirements, be error-free, or provide medically accurate information. We make no medical or health claims; recommendations are for informational purposes only. Consult a healthcare professional regarding any eye strain, mental fatigue, or health concerns.

16. Limitation of Liability

To the maximum extent permitted by law, Neuronext Inc. and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Advancify Focus. Our total liability shall not exceed the amount you paid to us (if any) for the application.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. You consent to the exclusive jurisdiction of courts located in Delaware for the resolution of any dispute.

18. Modifications to the Terms

We may update these Terms from time to time. We will provide the revised Terms with an updated effective date. Your continued use of Advancify Focus after such changes constitutes acceptance.
